160 Contribution of such Contributor, if any, and such derivative
161 works, in source code and object code form.

163 b) Subject to the terms of this Agreement, each Contributor hereby
164 grants Recipient a non-exclusive, worldwide, royalty-free patent
165 license under Licensed Patents to make, use, sell, offer to sell,
166 import and otherwise transfer the Contribution of such Contributor,
167 if any, in source code and object code form. This patent license
168 shall apply to the combination of the Contribution and the Program
169 if, at the time the Contribution is added by the Contributor, such
170 addition of the Contribution causes such combination to be covered
171 by the Licensed Patents. The patent license shall not apply to any
172 other combinations which include the Contribution. No hardware per
173 se is licensed hereunder.

184 property rights needed, if any. For example, if a third party

207 for damages, including direct, indirect, special, incidental and
208 consequential damages, such as lost profits;

210 iii) states that any provisions which differ from this Agreement are
211 offered by that Contributor alone and not by any other party; and

213 iv) states that source code for the Program is available from such
214 Contributor, and informs licensees how to obtain it in a reasonable
215 manner on or through a medium customarily used for software
216 exchange.

218 When the Program is made available in source code form:
219 a) it must be made available under this Agreement; and

221 b) a copy of this Agreement must be included with each copy of the
222 Program.

228 Contribution, if any, in a manner that reasonably allows subsequent

231 4. COMMERCIAL DISTRIBUTION

233 Commercial distributors of software may accept certain responsibilities
234 with respect to end users, business partners and the like. While this
235 license is intended to facilitate the commercial use of the Program,
236 the Contributor who includes the Program in a commercial product
237 offering should do so in a manner which does not create potential
238 liability for other Contributors. Therefore, if a Contributor includes
239 the Program in a commercial product offering, such Contributor
240 ("Commercial Contributor") hereby agrees to defend and indemnify every
241 other Contributor ("Indemnified Contributor") against any losses,

263 performance claims and warranties, and if a court requires any other
264 Contributor to pay any damages as a result, the Commercial Contributor

272 WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR
273 FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely responsible
274 for determining the appropriateness of using and distributing the
275 Program and assumes all risks associated with its exercise of rights
276 under this Agreement, including but not limited to the risks and costs
277 of program errors, compliance with applicable laws, damage to or loss
278 of data, programs or equipment, and unavailability or interruption of
279 operations.

286 WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
287 LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
288 NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
289 DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED

295 applicable law, it shall not affect the validity or enforceability of
296 the remainder of the terms of this Agreement, and without further
297 action by the parties hereto, such provision shall be reformed to the
298 minimum extent necessary to make such provision valid and enforceable.

300 If Recipient institutes patent litigation against a Contributor with
301 respect to a patent applicable to software (including a cross-claim or
302 counterclaim in a lawsuit), then any patent licenses granted by that
303 Contributor to such Recipient under this Agreement shall terminate as
304 of the date such litigation is filed. In addition, if Recipient
305 institutes patent litigation against any entity (including a
306 cross-claim or counterclaim in a lawsuit) alleging that the Program
307 itself (excluding combinations of the Program with other software or
308 hardware) infringes such Recipient's patent(s), then such Recipient's
309 rights granted under Section 2(b) shall terminate as of the date such
310 litigation is filed.

312 All Recipient's rights under this Agreement shall terminate if it fails
313 to comply with any of the material terms or conditions of this
314 Agreement and does not cure such failure in a reasonable period of time
315 after becoming aware of such noncompliance. If all Recipient's rights
316 under this Agreement terminate, Recipient agrees to cease use and
317 distribution of the Program as soon as reasonably practicable. However,
318 Recipient's obligations under this Agreement and any licenses granted
319 by Recipient relating to the Program shall continue and survive.

321 Everyone is permitted to copy and distribute copies of this Agreement,
322 but in order to avoid inconsistency the Agreement is copyrighted and
323 may only be modified in the following manner. The Agreement Steward
324 reserves the right to publish new versions (including revisions) of
325 this Agreement from time to time. No one other than the Agreement
326 Steward has the right to modify this Agreement. IBM is the initial
327 Agreement Steward. IBM may assign the responsibility to serve as the
328 Agreement Steward to a suitable separate entity. Each new version of
329 the Agreement will be given a distinguishing version number. The
330 Program (including Contributions) may always be distributed subject to
331 the version of the Agreement under which it was received. In addition,
332 after a new version of the Agreement is published, Contributor may
333 elect to distribute the Program (including its Contributions) under the
334 new version. Except as expressly stated in Sections 2(a) and 2(b)
335 above, Recipient receives no rights or licenses to the intellectual
336 property of any Contributor under this Agreement, whether expressly, by
337 implication, estoppel or otherwise. All rights in the Program not
338 expressly granted under this Agreement are reserved.

340 This Agreement is governed by the laws of the State of New York and the
341 intellectual property laws of the United States of America. No party to
342 this Agreement will bring a legal action under this Agreement more than
343 one year after the cause of action arose. Each party waives its rights
